1. Introduction

This website and all associated services (collectively the "Platform") are owned and operated by Viron Health LLC ("Viron Health," "we," "our," or "us"). By accessing or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are under eighteen (18) years of age, you are strictly prohibited from using this Platform.

2. Acceptance of Terms

By accessing or using the Platform, you expressly consent to be bound by these Terms and all applicable federal, state, and local laws. Viron Health reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes your acceptance of the revised Terms.

3. Relationship with Viron Health

By registering or using the Platform, you acknowledge that your relationship with Viron Health is that of a customer and not that of a patient or healthcare provider. Viron Health does not provide healthcare services. All medical care is provided solely by independent licensed healthcare providers managed by Ovie Health Group as Viron Health's contracted provider network.

4. Third-Party Services

The Platform may include products, services, or features provided by third parties including healthcare providers managed by Ovie Health Group, pharmacies, laboratories, and technology vendors. Any transactions or interactions with third parties are solely between you and the respective third party. Viron Health is not responsible for any loss, damage, or disputes arising from your engagement with these third parties.

5. Protected Health Information and Privacy

By using the Platform, you consent to the collection, use, and disclosure of your personal and medical information for purposes directly related to providing healthcare services, processing prescriptions, facilitating transactions, communicating with you, and complying with legal obligations. 6. Prescription Orders and Fulfillment

Certain products available through the Platform require a valid prescription from a licensed healthcare provider. To access these products, you must complete a consultation with a licensed provider. Viron Health is not responsible for delays, errors, or shortages in medication fulfillment by third-party pharmacies.

7. User Responsibilities

By using the Platform, you agree to provide accurate, complete, and current information about yourself. You are responsible for maintaining the confidentiality of your account credentials. You agree not to use the Platform for any unlawful or unauthorized purpose.

8. Subscription and Billing

Viron Health may offer certain products and services on a subscription basis with recurring charges. Subscriptions will continue unless actively canceled. Viron Health does not accept insurance, Medicare, Medicaid, or Tricare. You are financially responsible for all services rendered.

9. No Warranty

All services, content, and products are provided on an "as is" and "as available" basis. Viron Health makes no warranties, express or implied, regarding accuracy, reliability, completeness, or fitness for a particular purpose. YOU AGREE THAT USE OF THE PLATFORM IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRON HEALTH SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, SERVICES, CONTENT, OR ANY THIRD-PARTY GOODS OR SERVICES.

11. Binding Arbitration / Class Waiver

Any dispute, claim, or controversy arising from or relating to these Terms, the Platform, or Services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA). You waive your right to a jury trial and to participate in class action lawsuits. You may opt out of arbitration within 30 days of agreeing to these Terms by written notice to care@vironhealth.com.

12. Indemnification

You agree to indemnify, defend, and hold harmless Viron Health LLC, its subsidiaries, affiliates, vendors, healthcare providers managed by Ovie Health Group, officers, agents, and employees from and against any claims, liabilities, losses, damages, costs, or expenses arising from your use of the Platform, breach of these Terms, or violation of the rights of any third party.

13. Governing Law

These Terms and your use of the Platform shall be governed by the laws of the State of Florida, without regard to its conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Florida.
